الشروط والأحكام
١. التعريف بالشركة وأطراف الاتفاق
هذه الشروط والأحكام («الشروط») اتفاق مُلزِم بينك («المستخدم») وبين شركة إيكسك لوجيك (Exec Logic)، سجل تجاري رقم 7054560615، ومقرها مدينة الرياض، المملكة العربية السعودية («الشركة»، «نحن»)، وتحكم وصولك إلى منصة Execra وموقعيها الإلكترونيين واستخدامك لهما («الخدمة»).
٢. القبول
باستخدامك منصة Execra فإنك توافق على هذه الشروط. إن لم توافق، لا تستخدم الخدمة. باستخدامك الخدمة تقرّ بأنك تتمتع بالأهلية النظامية لإبرام هذا الاتفاق، وأنك — إن كنت تتصرف نيابةً عن منشأة — مخوَّل بإلزامها بهذه الشروط.
٣. وصف الخدمة
Execra منصة مطوّرة في السعودية لأتمتة سير العمل بالذكاء الاصطناعي متعدد الوكلاء: تصف هدفاً تشغيلياً فتخطط المنصة سير العمل وتنفّذه وتحتفظ بسجل تطبيق قابل للمراجعة. قد تستخدم الخدمة معالِجين موثّقين داخل المملكة أو خارجها بحسب خيار النشر، وتطبّق قواعد حتمية لتنقيح أنماط شخصية معروفة قبل مزوّدي الذكاء الاصطناعي؛ ولا تضمن هذه القواعد اكتشاف كل بيانات شخصية. الخدمة قابلة للتطوّر ونحتفظ بحق تعديل ميزاتها بإشعار مسبق ٣٠ يوماً للتغييرات الجوهرية.
٤. الحساب والاستخدام المقبول
تتحمل مسؤولية أمن حسابك وسرية بيانات دخولك وصحة المعلومات التي تسجّلها، وتلتزم بإخطارنا فوراً عند اشتباهك بأي استخدام غير مصرّح به. يُمنع استخدام Execra في:
- أي نشاط مخالف للأنظمة المعمول بها في المملكة العربية السعودية؛
- اختراق أو محاولة اختراق أي نظام أو تجاوز ضوابط الأمان أو حدود الاستخدام؛
- إرسال محتوى ضار أو مزعج أو مضلّل؛
- انتهاك خصوصية الغير أو حقوقه أو معالجة بيانات شخصية دون سند نظامي.
٥. الاشتراكات والرسوم
الفوترة التجارية غير مفعّلة حالياً، وقد تُتاح الخدمة أو أجزاء منها دون مقابل خلال هذه المرحلة. قبل إصدار أي فاتورة ضريبية، يجب تفعيل واختبار مسار التوليد والربط المنطبق مع هيئة الزكاة والضريبة والجمارك (ZATCA) وتوثيقه؛ ولا تدّعي الخدمة حاليًا اعتمادًا أو جاهزية للمرحلة الثانية. وحيثما تسري رسوم اشتراك مستقبلًا: تُنشر الأسعار والشروط قبل سريانها، ويبيّن العقد حقوق الإلغاء والاسترداد المنطبقة.
٦. الملكية الفكرية والترخيص
جميع حقوق Execra والشعار والكود والقوالب الرسمية محفوظة للشركة. برمجيات المنصة مرخّصة بموجب رخصة Business Source License 1.1 (BUSL-1.1)، ولا تمنحك هذه الشروط أي حق في الكود المصدري خارج ما تنص عليه تلك الرخصة. بياناتك وسير العمل التي تنشئها تبقى ملكك، لكنك تمنحنا ترخيصاً غير حصري لتخزينها وتنفيذها نيابةً عنك لغرض تقديم الخدمة فقط.
٧. الخصوصية وحماية البيانات (PDPL)
نصمم ضوابط المعالجة لدعم الالتزام بنظام حماية البيانات الشخصية السعودي (PDPL) ولوائحه. تفاصيل المعالجة الفعلية والمعالِجين والنقل والحقوق وحدود الضوابط مبيّنة في سياسة الخصوصية، وهي جزء مكمّل لهذه الشروط وليست شهادة اعتماد.
٨. توافر الخدمة
تُقدَّم الخدمة «كما هي» و«حسب المتاح». لا نضمن خلوها من الأخطاء أو الانقطاع، وقد تتوقف مؤقتاً لأعمال الصيانة أو التحديث أو لأسباب خارجة عن سيطرتنا، ونسعى لتقليل أثر ذلك والإشعار المسبق حيثما أمكن.
٩. حدود المسؤولية
إلى الحد الأقصى الذي تجيزه الأنظمة، لا نتحمل الأضرار غير المباشرة أو التبعية أو فوات الربح. مسؤوليتنا القصوى محدودة بقيمة آخر ١٢ شهراً مدفوعة من اشتراكك؛ وفي حال عدم وجود رسوم مدفوعة، تكون محدودة بالحد الأدنى الذي تجيزه الأنظمة السعودية. لا يحدّ أي مما سبق من مسؤولية لا يجوز نظاماً استبعادها.
١٠. إنهاء الخدمة
يحق لنا تعليق أو إنهاء حسابك عند مخالفة جوهرية لهذه الشروط، مع إشعار سابق إن أمكن. عند الإنهاء، يبقى لك ٣٠ يوماً لتصدير بياناتك ما لم يوجب النظام خلاف ذلك.
١١. القانون الواجب التطبيق والاختصاص القضائي
تخضع هذه الشروط لأنظمة المملكة العربية السعودية وتُفسَّر وفقها. أي نزاع ينشأ عنها أو يتصل بها تختص به المحاكم المختصة في مدينة الرياض.
١٢. تعديل الشروط
قد نعدّل هذه الشروط بإشعار ٣٠ يوماً للتغييرات الجوهرية عبر البريد الإلكتروني المسجّل ونشر النسخة المحدَّثة على هذه الصفحة مع تاريخ آخر تحديث ورقم الإصدار. الاستمرار في الاستخدام بعد سريان التعديل يُعدّ قبولاً به.

Terms of Service
1. Who we are & parties to this agreement
These Terms of Service (the “Terms”) are a binding agreement between you (the “User”) and Exec Logic (شركة إيكسك لوجيك), Commercial Registration No. 7054560615, headquartered in Riyadh, Kingdom of Saudi Arabia (the “Company”, “we”), governing your access to and use of the Execra platform and its websites (the “Service”).
2. Acceptance
By using the Execra platform you agree to these Terms. If you do not agree, do not use the Service. By using the Service you confirm that you have the legal capacity to enter into this agreement and, if acting on behalf of an organisation, that you are authorised to bind it to these Terms.
3. Service description
Execra is a Saudi-built multi-agent workflow-automation platform: you state a business-process goal and the platform plans, executes, and retains a reviewable application record. Depending on the documented deployment, the Service may use processors inside or outside KSA. Deterministic rules redact known personal-data patterns before configured AI providers, but do not guarantee detection of all personal data. The Service evolves continuously; we may change features with 30-day advance notice for material changes.
4. Accounts & acceptable use
You are responsible for the security of your account, the confidentiality of your credentials, and the accuracy of the information you register, and you must notify us promptly of any suspected unauthorised use. You may not use Execra to:
- engage in any activity that violates the laws of the Kingdom of Saudi Arabia;
- compromise or attempt to compromise any system, or circumvent security controls or usage limits;
- distribute harmful, abusive, or misleading content;
- violate another party’s privacy or rights, or process personal data without a lawful basis.
5. Subscriptions & fees
Commercial billing is not currently active, and the Service or parts of it may be available free of charge during this period. Before any tax invoice is issued, the applicable ZATCA generation and integration path must be enabled, tested, and documented; the Service does not currently claim Phase-2 readiness or certification. If subscription fees are introduced, pricing and applicable cancellation and refund terms will be published before taking effect.
6. Intellectual property & licence
All rights to Execra, its logo, code, and official templates are reserved by the Company. The platform software is licensed under the Business Source License 1.1 (BUSL-1.1); these Terms grant you no rights in the source code beyond those set out in that licence. Your data and the workflows you create remain yours; you grant us a non-exclusive licence to store and execute them on your behalf solely to provide the Service.
7. Privacy & data protection (PDPL)
Our processing controls are designed to support compliance with the Saudi Personal Data Protection Law (PDPL) and its regulations. Actual processing, subprocessors, transfers, rights, and control limitations are disclosed in the Privacy Policy, which forms an integral part of these Terms and is not a certification.
8. Service availability
The Service is provided “as is” and “as available”. We do not guarantee error-free or uninterrupted operation; the Service may be temporarily unavailable for maintenance, upgrades, or causes beyond our control. We will minimise disruption and give advance notice where practicable.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect or consequential damages or loss of profit. Our maximum liability is capped at the last 12 months of fees paid for your subscription; where no fees have been paid, it is capped at the minimum amount permitted under Saudi law. Nothing in these Terms limits liability that cannot lawfully be excluded.
10. Termination
We may suspend or terminate your account for material breach of these Terms, with prior notice when possible. On termination you have 30 days to export your data, unless applicable law requires otherwise.
11. Governing law & jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with them is subject to the competent courts of Riyadh.
12. Changes to these Terms
We may amend these Terms with 30 days’ notice for material changes via your registered email and by publishing the updated version on this page with a revised “last updated” date and version number. Continued use after an amendment takes effect constitutes acceptance.
